Client Terms and Conditions

Navigating Success Together

1. Definitions

1.1 "Client" refers to the party contracting SkyTech Imaging for drone services.

1.2 "Services" includes but is not limited to drone surveys, inspections, photography, videography, mapping, and any related services provided by SkyTech Imaging.

1.3 "Deliverables" refers to the output, data, reports, images, videos, or any other results of the Services.

2. Acceptance of Terms

2.1 The Client's acceptance of a quote or proposal provided by SkyTech Imaging constitutes their acceptance of these General Terms and Conditions.

3. Services and Deliverables

3.1 SkyTech Imaging will perform the Services in a professional and timely manner, adhering to industry best practices.

3.2 SkyTech Imaging will provide Deliverables based on the agreed-upon specifications, including survey accuracy and format.

3.3 Any changes to the scope of the Services or Deliverables must be agreed upon in writing by both parties.

4. Survey Accuracy

4.1 SkyTech Imaging strives to provide accurate survey data. However, the accuracy of drone surveys may vary based on factors such as environmental conditions, equipment limitations, and the nature of the site.

4.2.1 The Client acknowledges that some level of variation in survey accuracy is inherent in drone surveying and agrees to accept reasonable variations within industry standards.

4.2.2 For example, data collected by a DJI Mavic 3 Enterprise drone (most common in our fleet) has the potential for centimetre-level accuracy under optimal conditions. However, factors like weather, terrain, and the specific survey objectives can influence the actual accuracy achieved. SkyTech Imaging will make every reasonable effort to maximise accuracy within the given constraints.

5. Timelines

5.1 SkyTech Imaging will provide estimated timelines for the completion of Services and Deliverables. While we make every effort to meet these timelines, factors such as weather conditions and site complexities may affect delivery schedules.

5.2 Delays beyond SkyTech Imaging's control will be communicated to the Client, and reasonable adjustments will be made to the timeline.

6. Payment Terms

6.1 Invoices for Services and Deliverables will be sent to the Client based on the agreed-upon terms in the quote or proposal.

6.2 Payment is due within 30 days of the invoice date unless otherwise agreed upon in writing.

6.3 SkyTech Imaging reserves the right to suspend or withhold Deliverables until outstanding payments are received.

7. Intellectual Property

7.1 The Client acknowledges that all intellectual property rights related to Services and Deliverables, including but not limited to data, images, and reports, remain the property of SkyTech Imaging unless otherwise agreed upon in writing.

8. Liability and Indemnity

8.1 SkyTech Imaging's liability for any loss, damage, or injury arising from the Services is limited to the extent permitted by applicable law and the terms of this agreement.

8.2 The Client agrees to indemnify and hold SkyTech Imaging harmless from any claims, losses, or damages arising from their use of Services or Deliverables.

9. Termination

9.1 Either party may terminate this agreement with written notice if the other party breaches any material term or condition and fails to remedy the breach within 30 days.

10. Confidentiality

10.1 Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of this agreement.

11. Governing Law

11.1 This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

12. Entire Agreement

12.1 This agreement constitutes the entire understanding between the parties concerning the subject matter and supersedes all prior agreements, representations, or understandings, whether written or verbal.

13. Amendments

13.1 Any amendments or modifications to this agreement must be made in writing and signed by both parties.
